1. Agreement to These Terms
These Terms of Use (“Terms”) are a binding agreement between you (“you,” “your,” or “Client”) and Alchemist Accelerator, LLC, a Delaware limited liability company with its principal place of business at 1000 Brickell Ave, Ste 715 PMB 5087, Miami, FL 33131, United States (“Alchemist,” “we,” “us,” or “our”). They govern your access to and use of https://alchemist.vc/, Alchemist, AlchemistX, the Vault (as defined below), and any other website, application, platform, event, or service that references or links to these Terms (the “Services”).
By accessing or using the Services, or by clicking to accept these Terms where that option is offered, you agree to these Terms and acknowledge that you have read our Privacy Notice, which explains how we collect and use Personal Data. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind it, and “you” refers to that organization.
Clickwrap acceptance. Where we present these Terms for acceptance — including when you register for the Vault as a Founder, Mentor, Coach, Partner, Investor, or Faculty member — you accept them by checking the acceptance box or clicking the “I agree,” “Accept,” or similar button presented, and that action forms a binding agreement and serves as your electronic signature and consent, including to the licenses and consents in Sections 9 and 12. We may record the date, time, version of these Terms, and identifying information associated with your acceptance, and rely on that record as evidence of your agreement.
2. Definitions
“Party” and “Parties” refer to you and/or Alchemist as the context requires. “User Content” has the meaning given in Section 9. “Privacy Notice” means our privacy notice made available on the Services.
The Vault means Alchemist’s private, membership-based platform and community described in Section 10. Member means a person or organization we have approved to access the Vault. Founder, Mentor, Coach, Partner, Investor, and Faculty have the meanings given in Section 10. Application Materials has the meaning given in Section 10. Member Information means information about Members made available through the Vault, including directory listings, profiles, and contact details.
Words in the singular include the plural and vice versa; headings are for convenience only.
3. Eligibility
The Services are intended for users who are at least 18 years of age, and by using them you represent that you are 18 or older and have the legal capacity to accept these Terms. The Services are not directed to children under 18, and we do not knowingly collect their information. This threshold is consistent with the children’s-data provisions of our Privacy Notice.
4. Changes to the Terms and the Services
We may update these Terms at any time by revising the “Last Updated” date, and we will give reasonable notice of material changes (for example, by posting on the Services or, where you are a Member, by notifying you through the Vault or by email). Your continued use after changes take effect constitutes acceptance; if you do not agree, stop using the Services. We may also modify, suspend, or discontinue all or part of the Services, including the Vault or any Vault feature, at any time without liability.
5. Accounts and Membership
Some features, including the Vault, require an account. You may create or access an account directly or, where offered, through a third-party single sign-on service or a one-time passcode. You agree to provide accurate, current, and complete information, to keep your credentials secure, and to remain responsible for all activity under your account. Accounts and Membership are personal to you, are non-transferable, and may not be shared, sold, or made available to any other person. Notify us promptly of any unauthorized use. We may suspend or terminate accounts or Membership under these Terms and are not liable for losses arising from your failure to protect your credentials.
6. Acceptable Use
You agree to use the Services only for lawful purposes and not to, and not to permit others to:
- violate any applicable law or regulation, or the rights of others;
- transmit malware or harmful code, or interfere with or disrupt the Services;
- attempt to gain unauthorized access to the Services or related systems, accounts, or networks;
- use any automated means (robot, spider, scraper) to access, monitor, or copy the Services without our prior written permission;
- reverse engineer, decompile, or disassemble any part of the Services, except as permitted by law;
- harvest information about other users or Members, or send unsolicited communications; or
- post or transmit content that is unlawful, defamatory, obscene, harassing, infringing, or otherwise objectionable, or that could disable or impair the Services.
If you access the Vault, the additional community rules in Section 11 also apply to your conduct.
7. Intellectual Property and License
Unless otherwise stated, Alchemist and/or its licensors own all material on the Services, and all rights are reserved. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and to view and print pages from https://alchemist.vc/ for your own personal, non-commercial use. Except as expressly permitted, you must not republish, sell, rent, sub-license, reproduce, duplicate, copy, or redistribute material from the Services unless it is specifically made available for redistribution.
8. Trademarks
“Alchemist,” “Alchemist Accelerator,” “AlchemistX,” “the Vault,” and associated logos are trademarks of Alchemist. You may not use them without a separate written trademark license, except as expressly allowed in Section 14 (Linking). Other trademarks belong to their respective owners.
9. User Content, Submissions, and Feedback
The Services may let you submit content such as files, text, images, audio, video, or data (“User Content”), including content you post, share, or exchange with other Members through the Vault, and content captured through recordings, transcripts, and AI notetaking under Section 12. You keep any ownership rights in your User Content.
License to Alchemist. To the maximum extent permitted by law, you grant Alchemist and its affiliates a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to host, store, use, reproduce, modify, adapt, translate, create derivative works from, record, publish, publicly perform and display, distribute, and otherwise exploit your User Content, and to use automated tools, analytics, and machine-learning or artificial-intelligence systems to process and analyze your User Content and your use of the Services and to generate summaries, insights, analytics, models, and inferences. You grant this license for any purpose related to Alchemist’s business, including to: (a) operate, provide, secure, and improve the Services; (b) promote, support, market, and provide visibility for you, your venture, and the startups, ventures, and Members in the Alchemist network; (c) establish, maintain, develop, and report to Alchemist’s investors, limited partners, and prospective investors, and conduct fundraising and investor-relations activities; and (d) develop, operate, and improve Alchemist’s programs, offerings, tools, and models, including by creating and using aggregated or de-identified information that does not identify you. This license continues after termination as to User Content already submitted, and our handling of Personal Data is as described in Section 17 and our Privacy Notice. Nothing in these Terms permits us to share information a company provides to us in confidence under a separate signed agreement (such as a stock purchase or investment agreement) except as that agreement permits.
Name, likeness, and promotional rights. You grant Alchemist and its affiliates the right to use your name, likeness, image, photograph, voice, statements and testimonials, title and role, biographical information, and your venture’s name, logo, and description, together with the fact and details of your participation in Alchemist programs and the Vault, in Alchemist’s promotional, marketing, publicity, investor, and limited-partner communications and materials, in any media now known or later developed. Where applicable law requires additional or separate consent for a particular use, we will obtain it before that use.
You represent that you have all rights necessary to grant the licenses above and to submit your User Content, and that your User Content and our permitted use of it do not infringe any third party’s rights or any law.
You control what you choose to share within the Vault. When you post or share User Content in the Vault, you understand that other Members and Alchemist may access, view, and interact with it consistent with the applicable visibility settings and these Terms, and that other Members may reshare, copy, or redistribute it both within and outside the Services. We are not responsible for how other Members or third parties use content you make available to them.
We are not responsible for User Content and may (but need not) review or remove it at any time. Any feedback or suggestions you provide may be used by us without restriction or obligation to you.
10. The Vault: Program Applications, Selection, and Membership
What the Vault is
The Vault is Alchemist’s private, membership-based platform and community that connects the people and organizations in Alchemist’s programs and network. Members fall into one or more categories:
- Founders — individuals affiliated with startups and early-stage ventures that have applied to, been selected for, or participate in an Alchemist program;
- Mentors and Coaches — experienced operators, advisors, coaches, and subject-matter experts who guide and support founders and the community;
- Partners — corporate partners, service providers, and other organizations that engage with the Alchemist network;
- Investors — venture capital firms, angel investors, and other investors who engage with founders and ventures through the Alchemist network; and
- Faculty — instructors, speakers, and program leaders who deliver Alchemist’s curriculum and content.
Through the Vault, Members may access, depending on their category and the access we grant them, some or all of the following: member directories and profiles, program content and curriculum, events and sessions (including recorded sessions), messaging and networking features, resources, and other functionality we may offer from time to time. We may add, change, or remove Vault features, categories, or content at any time.
How you apply and are selected
If you submit an application or materials for any Alchemist program, event, or offering, including to join the Vault (“Application Materials”), access typically follows a selection process: (a) you submit Application Materials through the Site or another channel we designate; (b) we may review your submission, conduct interviews, and evaluate you against criteria we determine in our sole discretion; and (c) if you are selected and accepted, we may grant you access to the Vault as a Member in one or more categories above.
Unless a separate signed agreement provides otherwise: (a) submitting Application Materials or being granted access does not create any partnership, joint venture, agency, fiduciary, or employment relationship, or obligate us to interview, select, admit, fund, or continue to provide access to you; (b) you should not submit anything you consider confidential, and, except as stated in a signed agreement or our Privacy Notice, we assume no obligation of confidentiality with respect to Application Materials; and (c) you represent that you have the right to submit them and that they do not infringe any third party’s rights.
Acceptance at registration. To register for or access the Vault as a Founder, Mentor, Coach, Partner, Investor, or Faculty member, you must review and affirmatively accept these Terms and acknowledge our Privacy Notice by checking the acceptance box or clicking the button presented. That acceptance forms a binding agreement, serves as your electronic signature, and includes your agreement to the licenses and consents in Sections 9 (User Content and promotional rights) and 12 (recordings, AI notetaking, and inference). Where you register on behalf of an organization or venture, you represent that you are authorized to accept these Terms and grant these rights on its behalf and on behalf of the individuals you designate as its Members.
Membership is a revocable privilege
Access to the Vault is a personal, non-exclusive, non-transferable, revocable privilege granted at our discretion and conditioned on your continued compliance with these Terms, including Section 11. Membership does not confer any ownership, equity, investment, or other interest in Alchemist, any fund, or any other Member, and does not guarantee any funding, introduction, deal, or outcome. We may modify, suspend, or revoke Membership or any level of access at any time in accordance with Section 21.
11. Community Conduct and Member Interactions
The Vault depends on the trust and good conduct of its Members. In addition to Section 6, when you access the Vault you agree that you will not, and will not permit others to:
- scrape, harvest, export, copy, or compile Member Information, the member directory, or other Members’ content, or use any part of the Vault to build or populate a competing database, directory, or product;
- use Member Information for any purpose other than legitimate networking and collaboration within the Alchemist community, including no mass, bulk, unsolicited, or automated marketing, recruiting, or solicitation;
- impersonate any person or organization, or misrepresent your identity, affiliation, role, or the nature or status of your venture;
- manipulate, game, or interfere with Vault features — including profiles, endorsements, ratings, rankings, introductions, or visibility — or buy, sell, trade, or accept payment for Membership, access, introductions, endorsements, or preferential treatment;
- disclose, republish, or misuse non-public information shared by other Members or by Alchemist through the Vault, including confidential founder, portfolio-company, investor/LP, fundraising, or deal information;
- harass, threaten, defame, or discriminate against any Member or otherwise engage in conduct that is unlawful or harmful to the community; or
- circumvent Alchemist to solicit, transact with, or divert other Members in a manner that violates these Terms or a separate agreement with us.
We may investigate suspected violations, remove content, and suspend or revoke access, and we may report unlawful conduct to authorities. You are responsible for your interactions with other Members; Alchemist does not control and is not responsible for the conduct, statements, content, or offerings of Members, and any dealings you enter into with another Member are solely between you and that Member.
12. Recordings, Meetings, Events, and AI Notetaking
Some Alchemist meetings, sessions, events, and calls — whether in person or on platforms such as Zoom or Google Meet — may be recorded, transcribed, or processed using AI notetaking tools to generate summaries, notes, and action items. Where the law of an applicable jurisdiction requires the consent of some or all parties, we will provide notice and obtain the required consent before capture begins, applying the more protective approach where the requirement is unclear.
By continuing to participate in a meeting, session, event, or call after receiving notice that it is being recorded, transcribed, or processed by an AI notetaker, or by otherwise providing your consent, you consent to that recording, transcription, and AI notetaking, and to Alchemist’s use of the resulting recordings, transcripts, and AI-generated materials — together with your participation and User Content — to generate summaries, insights, analytics, and inferences and to use them for the purposes described in Section 9, including to promote and provide visibility for the startups, ventures, and Members in the Alchemist network and to establish, maintain, and report to Alchemist’s investors and limited partners. If you do not consent, you should not participate in the portion being captured, and you may raise the matter with the meeting host or contact us at privacy@alchemist.vc.
Recordings, transcripts, and AI-generated materials are treated as described in our Privacy Notice and are retained only as long as reasonably necessary for the purposes for which they were created and as permitted by applicable law, after which they are deleted or de-identified except where a longer period is required by law, contract, or a legal hold. AI-generated summaries and notes are for convenience and are not a substitute for an official record.
13. No Professional Advice; No Offer of Securities
Content on the Services is provided for general informational purposes only and is not investment, financial, legal, tax, accounting, or other professional advice. Nothing on the Services, and nothing shared through the Vault or any Alchemist program or event, is an offer to sell or a solicitation to buy any security or a recommendation regarding any investment, and you should not rely on it for any investment decision. Statements about potential outcomes or performance are forward-looking and are not guarantees of any result.
14. Linking to the Services
Linking. You may link to our public pages, provided the link is not misleading, does not suggest that Alchemist sponsors, endorses, or is affiliated with you or your organization, cause, or fundraising, and does not appear on content that is unlawful or objectionable. You may not frame our pages or use our logos or trademarks without a written license. We may ask you to remove any link, and you agree to do so promptly.
Framing. You may not frame our pages or otherwise alter their visual presentation without our prior written permission.
15. Third-Party Links and Content
The Services may link to third-party websites, applications, or content we do not control. We do not endorse and are not responsible for third-party content, policies, or practices, and you use them at your own risk. We also have no responsibility for content on your own or others’ websites; you agree not to place links to our Services within any content that is libelous, obscene, criminal, or infringing.
16. Copyright Policy (DMCA)
If you believe content on the Services infringes your copyright, send a written notice to support@alchemist.vc including: (a) your signature (electronic or physical); (b) identification of the copyrighted work; (c) identification and location of the allegedly infringing material; (d) your contact information; (e) a statement of your good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. We may remove infringing material and terminate repeat infringers.
17. Privacy, Cookies, and Data Retention
Your use of the Services is also subject to our Privacy Notice, which describes how we handle personal data, use cookies and similar technologies, and retain and delete information. The Privacy Notice is not part of these Terms. You can manage cookie choices through the “Cookie Preferences” manager link in the footer of any page on the website. California residents should also see Section 23 and the California disclosures in our Privacy Notice.
Relationship between these Terms and the Privacy Notice. The Privacy Notice describes how we collect, use, disclose, and retain Personal Data. These Terms set out the contractual rights, licenses, and consents you grant us, including in Sections 9 and 12. We will handle Personal Data as described in the Privacy Notice, and we exercise the rights, licenses, and consents you grant in these Terms consistent with it. Where a particular use of Personal Data requires consent or another lawful basis under applicable data-protection law, we will obtain it before that use.
18. Disclaimer of Warranties
The Services and all content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. To the maximum extent permitted by law, we disclaim all such warranties and do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components. We do not warrant or guarantee any funding, introduction, deal, mentorship, or other outcome from participation in the Vault or any Alchemist program. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under applicable law.
19. Limitation of Liability
To the maximum extent permitted by law, Alchemist and its affiliates and their officers, directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Services, whether in contract, tort, or otherwise, even if advised of the possibility. Our total aggregate liability will not exceed the greater of (a) the amounts you paid us for the Services in the twelve months before the claim or (b) US$100; and where the Services are provided free of charge, we will not be liable for any loss or damage. Nothing in these Terms excludes or limits liability for gross negligence, willful misconduct, fraud, death or personal injury caused by negligence, or any liability that cannot be limited under applicable law (including, for California residents, under California Civil Code § 1668).
20. Indemnification
You agree to indemnify, defend, and hold harmless Alchemist and its affiliates and their officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your User Content or Application Materials; (c) your violation of these Terms or any law or third-party right; (d) your interactions or dealings with other Members; or (e) content or materials on your website. We may assume exclusive defense and control of any indemnified matter at our expense, and you agree to cooperate.
21. Term and Termination
These Terms apply while you use the Services. We may suspend or terminate your access, account, or Vault Membership at any time, with or without cause or notice, including for any violation of these Terms. On termination, your licenses and Vault access end and you must stop using the Services; we may deactivate your account and delete or retain associated content in accordance with our Privacy Notice. Provisions that by their nature should survive — including those on intellectual property and licenses, User Content, the Vault and community conduct, recordings, no professional advice, third-party content, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions — will survive.
22. Governing Law and Dispute Resolution
Governing law. These Terms, and any dispute arising out of or relating to them or the Services (including non-contractual disputes), are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Alchemist is organized in Delaware and has its principal place of business in Miami-Dade County, Florida.
Non-waiver of mandatory rights. Nothing in these Terms, including the choice of Florida law, requires you to waive any protection that cannot be waived under the law of your home jurisdiction. If you are a California resident, you retain the non-waivable rights afforded under California law, including under the Consumers Legal Remedies Act and the CCPA/CPRA, and any such protection controls over a conflicting provision here.
Binding arbitration. Except as stated below, any dispute will be resolved by binding individual arbitration administered by JAMS under its then-current Consumer Arbitration Rules, seated in Miami-Dade County, Florida, with judgment enforceable in any court of competent jurisdiction. The arbitrator decides issues of arbitrability, except as to the public-injunctive-relief paragraph below.
Class-action waiver. Claims may be brought only in an individual capacity, not as a plaintiff or member of any class, collective, or representative proceeding, and the arbitrator may not consolidate claims or preside over any class proceeding.
Public injunctive relief. Nothing above waives, and the arbitrator may not deny, either party’s right to seek public injunctive relief where it is available and cannot be waived under applicable law. If a court holds the waiver of public injunctive relief unenforceable as to any claim, that claim alone will be severed and heard in the state or federal courts in Miami-Dade County, Florida, while the remaining claims proceed in arbitration. This paragraph may not itself be severed.
Opt-out and courts. You may opt out of arbitration and the class-action waiver by emailing privacy@alchemist.vc within 30 days after you first accept these Terms, stating your name and that you wish to opt out. If you opt out, or for any claim not subject to arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts in Miami-Dade County, Florida. Either party may still seek injunctive or equitable relief in those courts to protect intellectual property or confidential information, or bring an individual small-claims action.
23. Notice to California Residents
Consumer rights notice (Cal. Civ. Code § 1789.3). California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by phone at (800) 952-5210. You may also contact us with any complaint at privacy@alchemist.vc.
California privacy rights. Our Privacy Notice describes your rights under the CCPA/CPRA (including to know, access, correct, delete, and opt out of the “sale” or “sharing” of personal information) and under California’s “Shine the Light” law (Cal. Civ. Code § 1798.83). As described in our Privacy Notice, we may share limited browsing data with analytics and advertising providers through cookies, which may be considered a "sale" or "sharing" under some privacy laws. You can turn this off at any time through Cookie Preferences or our Your Privacy Choices page.
24. General Provisions
Electronic communications and notices. You consent to receive communications from us electronically, and agree they satisfy any legal requirement to be in writing. Notices to you go to your account email or by posting on the Services; notices to us go to privacy@alchemist.vc or Alchemist Accelerator, LLC, 1000 Brickell Ave, Ste 715 PMB 5087, Miami, FL 33131, United States.
Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
Assignment. You may not assign these Terms without our prior written consent; we may assign freely. Any attempted assignment in violation of this section is void.
Severability and waiver. If any provision is unenforceable, it will be modified or severed and the rest will remain in effect (subject to the public-injunctive-relief paragraph of Section 22). Our failure to enforce a provision is not a waiver, and any waiver must be in writing.
Entire agreement; relationship; compliance. These Terms are the entire agreement between you and Alchemist regarding the Services and supersede prior understandings; a separate signed agreement controls over any conflict. Nothing here creates a partnership, joint venture, agency, or employment relationship. You agree to comply with all applicable laws, including export-control and sanctions laws, and represent that you are not located in a comprehensively sanctioned jurisdiction or on any restricted-party list.
